Terms and Conditions

These Terms and Conditions (hereinafter may also be referred to as “Terms”, “Agreement“, “Terms and Conditions”) is an digital agreement between you (hereinafter referred to as “you”, or “your” and/or “User”, “Customer”) and UAB Space Edge Digital, an entity duly incorporated under the laws of Lithuania, with the registration number 306113029 (hereinafter “we”, “us”, “Space Edge”, “Company”), that applies to your use of this website, the platform, all the services, or content embedded into the website in question. The governing laws of the website are in accordance with the laws of Lithuania.

By getting accustomed to the present Terms and Conditions, you agree that you have fully read, understood and accepted the Terms provided herein, and that you give your consent to us, to the collection, processing and storage of certain personal data about you (as prescribed in the Privacy Policy of the platform).

The Company reserves a right to unilaterally amend, modify, update and change any of the provisions of the Terms & Conditions, including without limitation as a result of legal and regulatory changes, security reasons or changes to the Services.
Space Edge reserves a right to unilaterally change the content of the present Agreement without a prior given notice to the User.
Your continued use of the Services following the publication of any changes will be deemed as an acceptance of these Terms and Conditions as amended.

• Space Edge provides a Service for exchanging virtual currencies against fiat currencies;
• The Client understands and undertakes that cryptocurrency trading is associated with high risks and potential losses. Space Edge cannot be held responsible for any losses that the Client may incur by trading with Space Edge;
• Space Edge does not, by any means, provide investment consultancy.

• Before using the Website (s) all Users are strongly encouraged to get accustomed to the Terms, and tick the relevant box, thus confirming that you understand and agree to the policies contained herein. Any acceptance of the present Terms, expressed by ticking the box, is interpreted as if the User has read and understood the Agreement in full.
• By registering a Space Edge Account, you represent and warrant that:
  
  a. You have reached the age of 18 before starting to use the Service;
  b. All information that you provide to us is true, current, complete and accurate;
  c. Your use of the Services does not violate applicable laws or regulations in your country, or any laws of Lithuania;
  d. You have not been previously banned or suspended from the use of our Services;
  e. You do not own any other account at Space Edge. The Platform explicitly prohibits the use of several accounts, assigned to one user;
  f. You are not a resident/citizen and/or do not hold a passport of any prohibited territories listed in these Terms;
  g. If you are entering into these Terms on behalf of a legal entity, you represent and warrant that you have all necessary right and authorizations to act on behalf of said legal entity.

3. PROHIBITED JURISDICTIONS

In order to comply with international AML regulations, we are currently unable to provide services to residents and companies from some countries. We reserve the right to update this list at our sole discretion.

The list of prohibited jurisdictions is subject to change. 4. PROHIBITED USE

By registering a Space Edge Account, you confirm that you will not use your Space Edge Account and/or any Space Edge Services to do any of the following:

• Activity which operates to defraud Space Edge, Space Edge Users, or any other person; provide any false, inaccurate, or misleading information to Space Edge;
• Interfere with another individual's or entity's access to or use of any Space Edge Services; defame, abuse, extort, harass, stalk, threaten or otherwise violate or infringe the legal rights (such as, but not limited to, rights of privacy, publicity and intellectual property) of other Users;
• Attempt to gain unauthorized access to the Website, Space Edge Accounts of other Users, computer systems or networks connected to the Website, through password mining or any other illicit means;
• Actions that may be offensive to public order and morals, or violate laws, regulations, and ordinances;
• Incite, threaten, facilitate, promote, or encourage hate, racial intolerance, or violent acts against others; harvest or otherwise collect and store information from the Website about other Users by electronic or other means, including without limitation email addresses, or any other private information of Users;
• Register more than one Space Edge Account or register a Space Edge Account on behalf of a third party;
• Transfer or sell your Space Edge Account and/or username to a third party;
• Use the Services to transmit, distribute, publish, or provide any information relating to another User or person without his permission;
• The Client is ignoring requests to submit the information required under applicable laws to Space Edge;
• The Customer is a subject of the Law on Prevention of Laundering of Proceeds Derived from Criminal Activities and Terrorist Financing and the Customer’s internal control system does not comply with the requirements of the legislation governing the area of anti-money laundering and terrorist financing prevention;
• Other events that may be specified within Space Edge’s internal AML policies.
   

5. DESCRIPTION OF SERVICES

You agree to complete and submit to us a Customer questionnaire as well as submit any additional information and documents as may be requested by Space Edge, such documents may include:

• Passport or other photographic identity document;
• Proof of address document.

By submitting the above-mentioned data, you authorize Space Edge to use this data to perform necessary due diligence checks as required by local and international regulations in order to comply with the AML and KYC rules. You understand and agree that your data may be submitted to third parties for verification purposes

You understand and agree that submission of this data will not guarantee the establishment of the relationship and further provision of Services to You by Space Edge.

You acknowledge and agree that throughout the relationship with Space Edge, your personal information may be disclosed to third parties, such as financial institutions or law enforcement upon relevant official request.
 

6. DEPOSITING FUNDS AND EXCHANGE PROCESS

• A registered and verified User of Space Edge should log into the Profile at the Platform;
• The User should go to either the Buy section and indicate the fiat currency amount, that he/she is willing to exchange to Cryptocurrency;
• A User can employ two payment options of his/her choice. User direct transfer of Fiat/Cryptocurrency to the bank details/wallet address of UAB Space Edge Digital or use the credit/debit card payment through our protected gateway;
• If the Client chooses the credit card payment option, the exchange settlement will appear within 15-30 minutes from when the Fiat transfer is received. The usual time required for SEPA reception – 1-3 business days;
• The User shall be responsible for paying commissions and Service Fees related to the transfer of Funds, and shall assume any risks associated with submitting incorrect payment details.
• Space Edge is entitled to set and vary maximum and minimum limits for Deposits and Withdrawals of Funds at its own discretion. Space Edge shall not be liable for any preliminary notifications to the Users in regards such changes.

7. RISKS ACKNOWLEDGEMENT

By using the services of Space Edge, the Client acknowledges that:

• Cryptocurrencies carry significant risks and you acknowledge those risks and shall carefully consider whether it is appropriate for you to buy cryptocurrency;
• In case of cancellation of the execution of your Buy/Sell order or cancellation of a related transaction, all commission costs for electronic money transfer, exchange costs or other costs that are charged to Space Edge will be withheld from the amount received from the Client;
• While using the Service, you assume full responsibility for your wallet. Remember you are responsible for protecting your wallet from unauthorized access and taking the necessary steps to secure your private keys when using an external wallet;
• Space Edge can’t be held responsible for any losses, damages or claims that may arise from the use of corrupted wallets, mistyped wallet addresses, viruses or third-party attacks;
• Space Edge has the right to stop the sale of electronic currencies, in the event where a Client does not provide their identity documents and up until the moment when this requirement is met;
• Space Edge calculates the amount of the Cryptocurrency or Fiat to be paid out at the rate fixed at the time of receipt of funds from the Client. The rates and amounts displayed on the website upon creation of your Buy/Sell order are indicative and are subject to change. Final amounts will be displayed in the Invoice and in your Dashboard once the order is completed.
   

8. COST OF SERVICES

• Client acknowledges that any transaction within the scope of these Terms will incur costs in a form of different fees. Those include, but are not limited to: Processing fees, Service fees, Network fees;
• Relevant fees for any of the Service provided under the scope of these terms (Exchange service) will be displayed upon creation of the Buy/Sell order. You can cancel the order any time if you do not agree with the applied fees;
• Client agrees to pay all relevant fees that may be published in these T&Cs or otherwise agreed in a written form between the Client and Space Edge;
• Client acknowledges that some fees, including but not limited to Network fees, are dynamic, and may change from transaction to transaction.
   

9. CANCELLATION OF THE ORDER AND REFUND POLICY

• The Payment operation is considered authorized only after the Client gives his/her Consent. The Consent can be confirmed by an electronic signature, the Password or descriptor given to the Client when the Payment will appear on Client’s bankcard statement. The Consent confirmed via any of the methods described in the present clause is considered appropriately confirmed by the Client, bears the same legal power as a paper document (Consent) signed by the Client and can be used as evidence when settling disputes between Company and the Client in courts and other institutions. The Client does not have the right to challenge the Payment operation performed by Company if the Payment order has been confirmed by a Consent submitted by a method defined in the present clause;
• The Client agrees that Company, while executing the Payment operation, shall transfer Personal data of the Client possessed by Company to persons directly related to execution of such Payment operation – international payment card organizations and other Bank/Companies involved in the execution of the Payment Service;
• If Client decides to change his/her mind and wishes to return the Cryptocurrency purchased from Space Edge, Space Edge would be able, at its sole discretion, to buy it back from the Client based on the current market rate minus the service fee payable for the transaction. For this purpose, please contact Space Edge via email at support@rspaceedge.io. If a refund request is made, the Client is required to provide all of the necessary documents which may be requested by Space Edge (such as, for example, the identification document);
• The refund policy applies exclusively to the funds which the customer has sent to space Edge in accordance with the order placed at the platform. Any third-party cryptocurrency purchases, made at the exchange platforms other than Space Edge, will not be refunded. 
   

10.  LOSS LIMITATION

Space Edge does not provide brokerage or investment consultancy services.

• In no event shall we be held liable for any of the following types of loss or damage arising under or in connection with these Terms or otherwise:
• Incorrectly provided crypto address (wallet address). Once you have made a mistake, you will not be able to revoke the transaction;
• Any loss or damage due to technical failures and/or other errors of our third party technology service providers, including but not limited to liquidity providers, KYC/AML software providers, blockchain wallet software providers, blockchain raw data providers and blockchain analytics software suppliers;
• Any loss of profits or loss of expected revenue or gains, including any loss of anticipated trading profits and / or any actual or hypothetical trading losses;
• Any loss or damage due to circumstances beyond our control such as war or the threat of war, a change of political regime or other third-party actions;
• Any loss of use of hardware, software or data and / or any corruption of data; including but not limited to any losses or damages arising out of or relating to any inaccuracy, defect or omission of digital currency price data; any error or delay in the transmission of such data; and / or any interruption in any such data;
• Any loss or damage whatsoever which does not stem directly from our breach of these Terms; and / or any loss or damage whatsoever which is in excess of that which was caused as a direct result of our breach of these Terms (whether or not you are able to prove such loss or damage);

Space Edge website may contain links and pointers to other websites and resources. Such links do not constitute an endorsement by Space Edge of any third-party resources or their contents. Links do not imply that Space Edge is in any way affiliated or associated with third parties or is legally authorized to use any trademark, trade name, logo or copyright symbol displayed in or accessible through a link, or that any Linked websites are authorized to use any trademark, trade name, logo or copyright symbol of Space Edge. You should direct any concerns regarding any Linked website to such Linked website's website administrator or webmaster. Space Edge does not represent or endorse the accuracy or reliability off, and expressly disclaims, any advice, opinion, statement, or other information displayed or distributed through any Linked website. You hereby acknowledge that reliance upon any opinion, advice, or information displayed on or otherwise available through any Linked website shall be at Your sole risk.

You agree that the content of this website is an intellectual property of Space Edge and is protected by the laws on property rights, intellectual property rights and copyrights. Unapproved use of this content is forbidden and illegal.
 

12. USAGE OF THIRD PARTY SERVICE PROVIDERS

By using the Services of Space Edge, the Client agrees with following Terms in relation to Third party service providers or third party systems that Space Edge may be using throughout different aspects of its operations:

• Space Edge uses third party services and such third party’s affiliates services which enable you to place monetary deposits and perform exchange transactions;
• You are not obligated by law to provide Partner and/or the Third Party Service Provider with any Personal Information. You hereby acknowledge and agree that you are providing Partner and/or the Third Party Service Provider with Personal Information at his/her own free will, for the purposes of rendering the Services;
• Space Edge may share and transfer (including cross-border transfer) Personal Information with the Third Party Service Provider for the purpose of rendering the Services. The Personal Information will be shared with the Third Party Service Provider after you select to execute such monetary payments by using the Services of the Third Party Service Provider. For the purpose of this section Personal Information shall include information that identifies or may identify you, including the information submitted by you through the registration form when you subscribe to the website such as your E-mail address, country and city and/or information provided through social websites or any other identifying information provided by you while using the services of our website;
• By accepting these Terms, you represent that all information you provide us is true and accurate. Any false or fraudulent information and/or use of the services rendered to you is prohibited;
• In addition, we may transfer any Non-Personal Information provided by you through your use of the services on our website to the Third Party Service Provider in order to allow the Third Party Service Provider to perform preliminary examinations of Non-personal Information for the purpose of determining if you are qualified to use the services of such Third Party Service Provider (including the history of your transactions on the website which will be provided without any identifying information and solely for the purpose of performing the preliminary examinations).
   

Space Edge is not liable and does not reimburse damages as a result of inadequate performance of its obligations to the client caused by force majeure circumstances. Such circumstances, include in particular: failures; equipment shutdowns or work with power supply failures; acts of God; natural and industrial accidents; acts of terrorism; military operations; civil disorders; acceptance by public authorities, acceptance of laws containing prohibitions or restrictions concerning the activities of Space Edge related payment system by public authorities, local governments or administrations of payment systems; other circumstances that cannot be reasonably foreseen or prevented in advance and that prevent provision of the services of Space Edge.

14. DISPUTE RESOLUTION

Should you find the Services provided by Space Edge under these Terms and Conditions unsatisfactory, we encourage you to lodge a formal complaint and pursue resolution via communication with us. This Agreement is subject to Lithuanian law, and the exclusive jurisdiction for any disputes deriving from this Agreement shall lie with the Lithuanian courts. Negotiations can always take place if both parties agree to them. No one can be obliged to initiate them. The customer, on the other hand, he always has the right to decide for himself whether he prefers to pursue other remedies.

However, before initiating any legal claim, we request that you endeavor to amicably resolve the dispute by contacting Space Edge directly at info@spaceedge.io. Space Edge cannot assume in advance that all disputes will be resolved by negotiation.If Space Edge is unable to resolve your claim within a period of 30 days upon receipt of your notification, the dispute will be submitted for resolution to the The Court of General Jurisdiction and Courts of Special Jurisdiction, under Lithuanian law.
